第一条 定义
“业主”指 。
“承包商”指 。
“工厂”指在附录×中指定的构成固定设备的全部机器、设备和材料。
“工地”指按本合同用于建造工厂的全部地皮。
“工程”指承包商按本合同实施的工程。

article 1-definitions

第二条 承包商的职责

article 2-contractor\’s responsibilities
1. the contractor shall design, engineer, and construct the plant at the site.
2. the contractor shall provide all equipment, materials, tools, facilities, labour and services necessary for the successful construction of the plant except those items and facilities to be supplied by the owner under article (…).

第三条 业主的职责

3. 业主将从有关部门获取为工厂建造、设备运行所必需的执照和许可证，包括承包商雇员的工作许可证。

article 3-owner\’s responsibilities
1. the owner shall make available the site and grant the contractor free and uninterrupted access thereto throughout the duration of this contract.

第四条 合同价格

第五条 设计图样
1. 承包商应根据合同，在附录规定的时间内向业主提交工厂建造所需的图样，供业主审批。业主应在收到这些图样后一个月内，对图样进行审核，并作出批准或不批准的决定。
2. 承包商应对上述图样中的任何缺点、错误或疏漏负责，除非这种缺点、错误或疏漏是因业主书面提供的不准确信息所致。
3. 业主或承包商互相提供的所有图样和技术资料，收到方应作为机密文件对待，除非另有商定，收到方不得将这些图样和资料用于与本合同无关的其他目的。
article 5-drawings
1. the contractor shall submit to the owner for approval and review within the time specified in appendix (…) such drawings as may be required for construction of the plant under this contract. within one month after receiving such drawings the owner shall review and approve or disapprove the drawing.
2. the contractor shall be responsible for any defects, errors or omissions in the above drawings unless such defects, errors or omissions are caused by inaccurate information furnished in writing to the contractor by the owner.

甲方(发包方)：顺德市**镇泡沫加工厂
甲方代表：
乙方(承包方)：
经甲乙双方互相协商，甲方将顺德市**镇泡沫加工厂承包给乙方经营。甲乙双方在平等、互利、自愿的基础上，签定如下协议：
一、承包方式
甲方将权属于甲方的泡沫加工厂承包给乙方自产自销经营。承包期内，一切经营资金由乙方自筹;一切开支包括厂房租金、水、电费、税收费、卫生管理费等费用均由乙方负责支付，甲方概不负责。
二、承包期限
合同承包期限为一年，从xx年8月日起至xx年8月日止。合同期满后，如甲乙双方愿意，可继续签订承包合同。
三、承包费用
承包费用为100000元人民币(大写壹拾万元整)/年。乙方于每月5日前向甲方缴交承包款8300元，尾数在最后一个月结清;第一次缴交承包款时间为xx年9月5日前。如乙方逾期未缴交承包款，每日按拖欠总额的1%收取滞纳金;超过20日未缴交承包款，甲方有权终止承包合同，并将乙方保证金不予退还。
四、安全责任
乙方应为工厂员工购买工伤保险。合同期内，一切安全事故由乙方负责，甲方概不负任何责任。
五、违约责任
乙方在合同签定后向甲方交纳30000元保证金。如有违约，则由违约方向另一方赔偿违约金30000元。
六、其它事项
1、甲乙双方签字后，此合同不受市场行情等任何因素影响，合同期内，任何一方擅自中止合同(包括乙方中途退场等)，则按违约处理。localhost
2、甲方将原购买的其他厂的废泡沫(包括蚬华、福星、等)移交给乙方购买，但乙方不得自行与厂家重新洽谈价格或签订合同，如有价格等因素变动，必须及时通知甲方前去与厂家处理解决，否则按乙方违约处理。
3、甲方以前购买的厂货废泡沫，如受价格变动和其它因素的影响，导致一些厂货不能再继续购买的，甲方不负责任，不减少承包费。
4、乙方在经营期间，所有新找到的废泡沫货源和购买的废泡沫厂货，在合同期满后，必须连同以前的废泡沫厂货全部移交给甲方购买，并且乙方二年内不得在甲方工厂周围方圆30公里范围内开设废泡沫加工厂。
5、甲方负责提供一台泡沫拉丝机给乙方使用，维修费用由乙方负责。其它物品由甲乙双方在接交时签订清单，合同期满后乙方按清单将物品交给甲方，遗失或损坏的物品按价赔偿。
6、合同期内，如因现厂房不能继续租用或政府有关部门干涉的原因，导致乙方不能生产的情况下，由甲方负责协调有关关系或另外租厂房使用，乙方每月仍然按以前的厂租标准支付厂房租金;因搬厂房造成停工期间按270元/日扣减承包费。如甲方不能协调好关系，无法让乙方继续开工，则双方按终止合同处理并进行结算，此种情况不按违约处理。
7、如双方发生合同纠纷，须在甲方工厂所在地即顺德地区提出诉讼。
8、未尽事宜，由甲乙双方另行协商解决。
9、此合同一式两份，甲乙双方各持一份具有同等法律效力，签字生效。

乙方(承包方)：
为了更好地对生产车间开料组管理，提高生产效率，提高板材利用率。经甲乙双方共同协商，决定将开料组由乙方承包经营。为明确双方的权利、义务，特订立本合同：
一、承包方式
甲方将权属于甲方的生产车间开料组承包给乙方为甲方代加工。承包期内，甲方提供场地，设备及生产线;一切开支包括原材料、设备、耗材、辅材、水费、电费、设备维修费等费用均由甲方负责支付，乙方只承担人工工资。
二、承包期限
合同承包期限为一年，从____年____月____日起至______年____月____日止。
三、承包产品价格
每月裁板_____，保底______元，超出平方数，按每平方____元支付。
四、甲方权限：

六、结算及发放方式

2、发放时间：当月加工费在第三个月的10号发放到乙方卡上(如3月份加工费，在5月10日发放)，若遇到周末，延期到上班时间发放
3、合作保证金：加工费发放时，扣除当月加工费的10%作为合作保证金，合作保证金每半年发一次，
六、其它事项
1、甲乙双方签字后，此合同不受市场行情等任何因素影响，合同期内，任何一方擅自中止合同(包括乙方中途退场等)，则按违约处理。
2、承包期满是否续约或终止合同的，甲乙双方均应提前2个月通知对方
3、如双方发生合同纠纷，须在甲方工厂所在地即提出诉讼。
